Orella

Terms of Service

Effective date: 1 September 2026

These Terms of Service ("Terms") govern access to and use of Orella (the "Service"), provided by Zera Dynamics ("Zera," "we," "us," or "our"), a company registered in the Republic of Ghana at 8 Queen Palm Ln, company registration number BN310720326. By creating an account, accessing, or using the Service, you ("Customer," "you") agree to these Terms. If you are agreeing on behalf of an organization, you represent that you are authorized to bind that organization.

1. The Service

Orella is a multi-tenant customer lifecycle platform: it helps organizations track leads and customers through a pipeline, run automated communication journeys, and manage contracts, campaigns, and billing for their own customers. Orella is provided as a hosted, subscription and/or managed-service product, depending on the plan or tier you have subscribed to or been contracted for separately.

2. Accounts & Eligibility

2.1 You must provide accurate registration information and keep it current. You are responsible for all activity under your account and for maintaining the confidentiality of your login credentials.

2.2 You must be at least 18 years old, and authorized to act for the organization you represent, to create an account.

2.3 We may suspend or terminate an account that provides false registration information, or that we reasonably believe poses a security or legal risk to the Service or to other Customers.

3. Acceptable Use

You agree not to use the Service to: (a) send unsolicited communications in violation of applicable law or the policies of any channel provider (including Meta’s WhatsApp Business Policy and Google’s advertising policies); (b) upload or process personal data you are not lawfully entitled to process; (c) attempt to gain unauthorized access to any part of the Service, another Customer’s data, or the infrastructure the Service runs on; (d) reverse engineer, resell, sublicense, or use the Service to build a competing product; or (e) use the Service for any unlawful purpose.

4. Customer Data

4.1 As between you and Zera, you own the data you input into the Service, including your own customers’ contact details, communications, and pipeline records ("Customer Data"). You are responsible for having a lawful basis to collect and process that data, and for your own compliance with applicable data protection law, including Ghana’s Data Protection Act, 2012 (Act 843), in respect of your own customers.

4.2 We process Customer Data only to provide the Service to you and as described in our Privacy Policy. We do not sell Customer Data, and we do not use it to train models or share it with other Customers.

4.3 You are responsible for the accuracy, quality, and legality of Customer Data you input, and for obtaining any consents required from your own customers before communicating with them through the Service (including, where applicable, the per-channel messaging consent the Service is designed to gate sends on).

5. Subscriptions, Billing & Fees

5.1 Fees for the Service are as set out in your order form, pricing plan, or separately executed service agreement. Subscription fees are billed in advance on a recurring basis and, unless stated otherwise, are non-refundable.

5.2 We may suspend access to the Service for non-payment, following notice, as described in your applicable order form, pricing plan, or service agreement.

5.3 Fees are exclusive of Value Added Tax and any other applicable tax, levy, or duty, unless stated otherwise.

6. Third-Party Services

The Service integrates with third-party providers you may choose to connect, including WhatsApp/Meta, email and SMS providers, and payment processors (including Paystack). Your use of those integrations is also subject to that provider’s own terms. We are not responsible for the acts or omissions of third-party providers, though we will make reasonable efforts to notify you of any material change to an integration that affects the Service.

7. Intellectual Property

7.1 Zera owns all right, title, and interest in the Service itself, including its software, design, and underlying technology. Nothing in these Terms transfers any of that to you, except the right to use the Service as permitted here.

7.2 You retain all rights to your Customer Data and to any content you upload. You grant Zera a limited license to host, process, and display that content solely to provide the Service to you.

8. Confidentiality

Each party will protect the other’s confidential information with the same degree of care it uses for its own confidential information of similar importance, and at least reasonable care, and will use it only to perform under these Terms.

9. Term & Termination

9.1 These Terms apply for as long as you have an active account or subscription. Either party may terminate an account as described in the applicable order form, pricing plan, or service agreement, or, where none applies, on 30 days’ written notice.

9.2 On termination, we will make Customer Data available for export for a reasonable period (at least 30 days, unless a longer period applies under your service agreement) before deletion, except where retention is required by law.

10. Disclaimers & Limitation of Liability

10.1 The Service is provided "as is." To the maximum extent permitted by law, Zera disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, and does not warrant the Service will be uninterrupted or error-free.

10.2 To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, and each party’s total liability arising out of these Terms is capped at the fees paid or payable by you in the twelve (12) months preceding the claim, except for a breach of Section 4, Section 7, or Section 8, or either party’s gross negligence or wilful misconduct.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Ghana. Any dispute will first be addressed through good-faith negotiation and, if unresolved, referred to arbitration administered by the Ghana Arbitration Centre (Accra) under the Alternative Dispute Resolution Act, 2010 (Act 798), before a sole arbitrator, seated in Accra, in the English language. Either party may seek urgent interim or injunctive relief from a court of competent jurisdiction to protect its intellectual property or confidential information.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-product notice at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance.
